Welcome to Lazyjot (“we,” “us,” or “our”). Lazyjot is a platform that provides lyric writing and songwriting assistance, including a rhyme dictionary, syllable counting, rhyme highlighting, beat annotation, and audio-to-text transcription features.

By accessing or using Lazyjot (the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use the Service.

1. Eligibility

  1. You must be at least 13 years of age to use our Service. By using Lazyjot, you represent and warrant that you meet this age requirement.
  2. If you are using Lazyjot on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Accounts and Security

  1. Account Creation: To access certain features of the Service, you may be required to create an account by providing an email address and password.
  2. Account Responsibilities: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at andreas@lazyjot.com of any unauthorized use of your account or any other breach of security.
  3. We reserve the right to suspend or terminate your account at our sole discretion if we suspect any unauthorized activity or violation of these Terms.

3. User Content and Ownership

  1. User Content: Our Service allows you to create, upload, and process your own written or audio content (collectively, “User Content”). You retain full ownership of any User Content you create or upload.
  2. License to Lazyjot: By using the Service, you grant us a non-exclusive, worldwide, royalty-free, and limited license to host, store, reproduce, modify, process, and display your User Content solely as necessary to operate and improve the Service. This includes using User Content for machine learning or technical improvements directly related to the functionality of Lazyjot.
  3. User Representations: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize Lazyjot to process your User Content as described in these Terms.

4. Acceptable Use

  1. Prohibited Conduct: You agree not to use the Service to post or transmit any content that:
    • Infringes any third party’s intellectual property or other rights;
    • Contains offensive, defamatory, hateful, harassing, or otherwise objectionable material;
    • Violates any applicable law or regulation.
  2. You agree to comply with all applicable laws and regulations when using the Service.

5. Audio-to-Text Transcription

  1. Third-Party Service: Our audio-to-text transcription feature utilizes a third-party service, replicate.com. Audio files are temporarily transmitted to replicate.com for the sole purpose of transcription.
  2. Consent: By using the audio transcription feature, you consent to the processing of your audio recordings by replicate.com. Please review our Privacy Policy for more details on how we handle your data.

6. Intellectual Property

  1. Lazyjot’s Intellectual Property: All code, designs, trademarks, and other content provided by Lazyjot (excluding User Content) are owned by or licensed to Lazyjot. You agree not to reproduce, distribute, modify, or create derivative works of Lazyjot’s intellectual property without explicit permission.
  2. Feedback: Any suggestions, ideas, or feedback you provide regarding the Service may be used by Lazyjot without obligation or compensation to you.

7. Disclaimers

  1. As-Is Service: The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied.
  2. No Liability for User Content: We do not endorse or assume any responsibility for the accuracy, legality, or decency of User Content posted by users.
  3. No Warranties: We do not warrant that the Service will be uninterrupted, error-free, or secure.

8. Limitation of Liability

  1. To the fullest extent permitted by law, Lazyjot shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from:
    • Your use of or inability to use the Service;
    • Unauthorized access to or alteration of your User Content;
    • Any third-party conduct or content.
  2. In no event shall Lazyjot’s aggregate liability exceed the amount you paid for the Service (if any) in the 12 months preceding the event that gave rise to liability.

9. Termination

  1. You may stop using the Service at any time.
  2. We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including a violation of these Terms.
  3. Upon termination, your right to use the Service immediately ceases. If you wish to delete your account or User Content, please refer to the Privacy Policy for instructions.

10. Changes to These Terms

We may update these Terms from time to time. Any changes will be effective when we post the revised Terms. Your continued use of the Service after the updated Terms go into effect will constitute your acceptance of the changes.

11. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service will be governed by and construed under the laws of Sweden, without regard to its conflict of law provisions.
